1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 19 years of age (the age of majority in British Columbia), have the legal authority to enter into a binding agreement, and agree to these Terms in full. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

VictoriaBiz AI provides AI-powered business automation tools including review management, customer communication drafting, social media scheduling, SEO content generation, and analytics dashboards. Features vary by subscription plan. We reserve the right to modify, update, or discontinue features with reasonable notice.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately at support@victoriabizai.ca if you suspect unauthorized access. We are not liable for losses resulting from unauthorized account use that is not our fault.

4. Subscription & Payment

Subscription fees are charged in Canadian dollars (CAD) plus applicable taxes including federal GST and, where applicable, BC PST on software services. Billing is monthly or annually in advance. All payments are processed securely via Stripe. You authorize us to charge your payment method on each billing date. Subscriptions renew automatically unless cancelled before the renewal date. We reserve the right to adjust pricing with 30 days written notice.

5. Free Trial

New accounts receive a 14-day free trial. No payment information is required to start a trial. Trials are available once per business. We reserve the right to end or modify trial terms at any time.

6. Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current paid billing period. We do not provide prorated refunds for partial months, except where required by applicable BC consumer protection law. Annual subscribers who cancel within 14 days of renewal may request a prorated refund by contacting support.

7. Acceptable Use

You agree not to use the Service to: (a) transmit spam, unsolicited messages, or violate Canada's Anti-Spam Legislation (CASL); (b) misrepresent your identity or business; (c) engage in deceptive review practices or post fake reviews, which may violate the Competition Act (Canada); (d) infringe any intellectual property rights; (e) transmit malware or harmful code; (f) attempt to reverse-engineer or resell the Service without authorization; (g) use the Service for any unlawful purpose under applicable federal or BC provincial law.

8. Customer Data & CASL Compliance

You are solely responsible for obtaining all necessary consents from your customers before sending any commercial electronic messages via the Service. The Service is a tool — you remain the sender of record under Canada's Anti-Spam Legislation (CASL). We provide CASL-compliant templates as guidance but are not responsible for your compliance obligations. You must maintain records of consent as required by CASL.

9. Intellectual Property

VictoriaBiz AI and its underlying technology, design, trademarks, and content are owned by us and protected under Canadian intellectual property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription. Content you create using the Service (e.g. drafted replies, blog posts) belongs to you. You grant us a limited licence to process your content solely to provide the Service.

10. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and British Columbia's Personal Information Protection Act (PIPA BC). We do not sell your personal information.

11. Disclaimers

The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, to the fullest extent permitted by BC law. We do not guarantee uninterrupted availability, error-free operation, or that AI-generated content will be accurate, complete, or fit for any particular purpose. AI-generated content is a drafting aid — you are responsible for reviewing it before use.

12. Limitation of Liability

To the fullest extent permitted by applicable law in British Columbia, our total liability to you for any claim arising under these Terms shall not exceed the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages. Some jurisdictions do not allow limitation of liability for certain damages — in such cases, our liability is limited to the minimum extent permitted by law.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of British Columbia and the laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of British Columbia. You agree to attempt in good faith to resolve any dispute informally by contacting us at legal@victoriabizai.ca before initiating formal proceedings.

14. Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days notice of material changes via email or a prominent notice in the Service. Continued use after the effective date of changes constitutes acceptance. If you do not agree to updated Terms, you may cancel your subscription before the changes take effect.
